The OrganizedWisdom Guide Program Terms of Service
By participating in The OrganizedWisdom Guide Program as a Guide, you agree to the following terms and conditions (the "Guide Terms of Service"):
Terms of Service of OrganizedWisdom.com. You agree to abide by OrganizedWisdom's Terms of Service, which can be viewed at http://organizedwisdom.com/about/terms.aspx (the "OrganizedWisdom Terms of Service").
Ownership of Content. You own your own content. OrganizedWisdom makes no claim of ownership over any content you submit, post, transmit or display on, or through, The OrganizedWisdom Guide Program ("WisdomCard Content"), including any specific search term results page you submit ("WisdomCard"). You are the owner of your WisdomCard Content, subject to the license and purchase option granted to OrganizedWisdom, as described below. You warrant to OrganizedWisdom that you have all the rights, power and authority necessary to grant the license and the purchase option in Section 3 below.
License; Purchase Option. License. By submitting any WisdomCard to OrganizedWisdom, you agree to grant OrganizedWisdom and its users permission to access and use your WisdomCard Content. As such, you grant to OrganizedWisdom a non-exclusive, worldwide, assignable, sub-licensable, royalty-free license to publish, use, reproduce, distribute, transmit, adapt, modify, create derivative of, provide user access to, publicly perform and publicly display, in every manner and medium now or hereafter known, any and all WisdomCard Content (in whole or in part) solely for the purpose for which your WisdomCard Content was submitted. This license will be in effect for so long as your WisdomCard Content remains in OrganizedWisdom, and will terminate at the time OrganizedWisdom removes your WisdomCard Content from OrganizedWisdom. OrganizedWisdom shall have no obligation to use or take any action with respect to any WisdomCard Content.
Purchase Option. Following your submission to OrganizedWisdom of a WisdomCard, you agree to grant OrganizedWisdom an exclusive option to purchase such WisdomCard for a period of 30 days following the date of submission of such WisdomCard to OrganizedWisdom. OrganizedWisdom, in its sole discretion, will determine whether to purchase such WisdomCard, and if so, OrganizedWisdom will pay you $10 for such WisdomCard. For more information on OrganizedWisdomÕs selection process, please see the OrganizedWisdom FAQ, which can be viewed here (the "OrganizedWisdom Guide FAQ"). In the event that OrganizedWisdom agrees to purchase your WisdomCard, you agree to execute a purchase agreement and/or any other related documents, pursuant to which you will sell, transfer and assign all your rights to the WisdomCard to OrganizedWisdom in consideration for the fee paid to you by OrganizedWisdom. If you would prefer to donate your proceeds for a charitable purpose, OrganizedWisdom will donate the proceeds on your behalf.
Miscellaneous. This OrganizedWisdom Guide Program Terms of Service, the OrganizedWisdom FAQ and the OrganizedWisdom Terms of Service (collectively, the "Terms") represent the entire agreement of the parties with respect to the subject matter hereof and no changes or modifications or waivers or supplements to these Terms will be effective unless in writing and signed by OrganizedWisdom. These Terms shall be governed by and construed in accordance with the laws of the State of New York without regard to the conflicts of laws provisions thereof and in the event of a dispute, the prevailing party will be entitled to attorneys fees and costs. The provisions of these Terms are severable and the invalidity or unenforceability of any provisions hereof shall not affect the validity or enforceability of the other hereof.
